TERMS AND CONDITIONS ("Terms of Service")

1. Introduction and Acceptance of Terms

These Terms and Conditions (the "Terms") govern your access to and use of the HyreMynd AI Inc. platform, website, and services (collectively, the "Services"), operated by HyreMynd AI Inc. ("HyreMynd," "we," "us," or "our").

By accessing, creating an account on, or using the Services, you agree to be bound by these Terms and by our Privacy Policy and Data Access Consent Form (together, the "Privacy Documents"), which are incorporated by reference. If you do not agree, you must not use the Services.

If you are using the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity, and "you" includes that entity.

2. Definitions

"Candidate" means an individual who uses the Services to complete an assessment or provide information for evaluation.

"Enterprise Customer" or "Customer" means a business client that uses the Services for employment-related evaluation purposes.

"Visitor" means a person who browses public areas of the website without an account.

"User" means any Candidate, Enterprise Customer authorized user, or Visitor (as applicable).

"User Content" means information, text, files, responses, resumes, and other materials submitted to the Services by or on behalf of a User.

"Outputs" means platform-generated results including scores, indices, profiles, insights, summaries, recommendations, reports, and analytics produced by the Services from User Content and related inputs.

"Customer Data" means data submitted by or for an Enterprise Customer, including Candidate information processed on the Customer's behalf.

3. Eligibility

The Services are intended solely for individuals who are at least 18 years of age, or the age of majority in their jurisdiction if higher. By using the Services, you represent and warrant that you meet this requirement.

4. Users and Accounts

4.1 Types of Users

The Services may be used by:

  • Candidates, who may create their own accounts to complete psychometric assessments;
  • Enterprise Customers (companies), whose accounts are created and provisioned by HyreMynd and/or the Customer; and
  • Public Visitors, who may browse certain public areas without creating an account.

4.2 Account Security and Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

You agree to:

  • provide accurate and complete information;
  • keep credentials secure and not share them improperly;
  • promptly notify HyreMynd of any unauthorized use or suspected security incident involving your account.

HyreMynd is not responsible for losses arising from unauthorized account access due to your failure to safeguard credentials.

4.3 Administrative Controls (Enterprise Customers)

Enterprise Customers may designate administrators who can manage authorized users, permissions, and access.

Enterprise Customers are responsible for:

  • ensuring only authorized personnel access the Services;
  • maintaining appropriate internal governance and access controls;
  • ensuring compliance with applicable employment and privacy laws.

5. Description of Services

HyreMynd provides an AI-powered psychometric assessment platform that analyzes Candidate responses and related information to generate behavioral trait profiles, indices, scores, and insights for employment-related evaluation purposes.

Important: HyreMynd does not make hiring, rejection, or employment decisions. All employment decisions are made solely by the Enterprise Customer.

6. Fees and Payment

  • The Services are free for Candidates.
  • The Services are paid for Enterprise Customers, pursuant to separate written commercial arrangements with HyreMynd.
  • HyreMynd may invoice Enterprise Customers according to the applicable agreement, purchase order, statement of work, or other written arrangement.

HyreMynd reserves the right to introduce or modify fees, subscriptions, or usage-based pricing for the Services upon reasonable notice, subject to any existing written agreement.

7. Acceptable Use

You agree not to, and not to attempt to:

  1. Use the Services for any unlawful, fraudulent, abusive, or harmful purpose;
  2. Misrepresent your identity or submit false, misleading, or deceptive information;
  3. Upload malware, harmful code, or interfere with the security, integrity, or operation of the Services;
  4. Reverse engineer, decompile, disassemble, scrape, probe, or attempt to discover source code, models, prompts, algorithms, or underlying components (except to the extent such restriction is prohibited by applicable law);
  5. Copy, reproduce, sell, lease, or sublicense the Services or any portion of them except as expressly permitted;
  6. Circumvent access controls, rate limits, or security features, or access non-public areas without authorization;
  7. Use the Services to harass, discriminate, or violate the rights of others.

HyreMynd may investigate suspected violations and may suspend or terminate access, remove content, and cooperate with law enforcement where appropriate.

8. Enterprise Customer Responsibilities (Employment Use)

Enterprise Customers acknowledge and agree that:

  1. Lawful Basis & Notices: The Customer is responsible for providing required notices and obtaining necessary consents from Candidates, as required by applicable law and the Customer's policies.
  2. Appropriate Use: Outputs must not be used in a manner that violates employment, human rights, or anti-discrimination laws, including any obligations related to fairness, transparency, and accommodations.
  3. Human Oversight: The Customer must not rely solely on Outputs for employment decisions and remains fully responsible for human review and decision-making.
  4. Candidate Rights Requests: Where applicable, the Customer is responsible for managing employment-related requests and processes. HyreMynd will support privacy requests consistent with the Privacy Documents and any applicable data-processing terms.

9. Artificial Intelligence Disclaimers

9.1 Informational Nature of Outputs

Outputs (including assessments, scores, indices, profiles, and insights) are provided for informational and evaluative purposes only. Outputs are not guarantees, and may be incomplete, contain errors, or reflect limitations of data and modeling.

9.2 No Employment, Legal, or HR Advice

The Services do not constitute legal advice, human resources advice, employment advice, or professional consulting. You should not treat Outputs as the sole basis for any employment, legal, compliance, or business decision.

9.3 Human Decision-Making

All employment-related decisions remain the exclusive responsibility of the Enterprise Customer. HyreMynd disclaims responsibility for hiring, termination, promotion, compensation, or other employment outcomes.

10. Privacy, Data Processing, and Consent

HyreMynd's collection and processing of personal information are described in the Privacy Documents.

  • Candidates and Enterprise Customers acknowledge that HyreMynd processes Candidate information to provide the Services and generate Outputs.
  • Enterprise Customers acknowledge that they may be considered the "controller" or equivalent under applicable privacy laws for Candidate information processed for employment purposes, and HyreMynd may act as a "processor"/service provider, subject to applicable agreements and the Privacy Documents.

If there is a conflict between these Terms and the Privacy Documents regarding personal information processing, the Privacy Documents control.

11. Intellectual Property Rights

11.1 User Content

As between you and HyreMynd, you retain ownership of your User Content, subject to the licenses and consents you grant under these Terms and the Privacy Documents.

You grant HyreMynd a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and use User Content solely to:

  • provide, maintain, and secure the Services;
  • generate Outputs;
  • comply with legal obligations; and
  • enforce these Terms.

11.2 HyreMynd Intellectual Property

HyreMynd exclusively owns all rights, title, and interest in and to:

  • the Services (including software, interfaces, design, databases, and documentation);
  • all AI models, algorithms, methodologies, workflows, and systems;
  • scoring systems, indices, frameworks, and derived insights; and
  • any improvements, enhancements, or derivative works thereof.

Except for the limited right to use the Services under these Terms, no rights are granted to you.

Patent Notice (as provided by HyreMynd): HyreMynd's assessment engine is patent pending with the Canadian Intellectual Property Office (Application No. 3293113).

11.3 License to Use the Services

Subject to your compliance with these Terms, HyreMynd grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal, lawful purposes (and for Enterprise Customers, as permitted under the applicable commercial arrangement).

11.4 Feedback

If you submit suggestions, ideas, or feedback, you grant HyreMynd an unrestricted, worldwide, perpetual license to use and incorporate such feedback without compensation or attribution.

12. Third-Party Services and Links

The Services may integrate or link to third-party services (e.g., identity providers, hosting, analytics, email, or other tools). HyreMynd does not control and is not responsible for third-party services, which are governed by their own terms and policies. Your use of third-party services is at your own risk.

13. Suspension and Termination

HyreMynd may, at its sole discretion:

  • suspend, restrict, or disable access to the Services for misuse, legal compliance, security concerns, non-payment (Enterprise Customers), or violations of these Terms;
  • terminate accounts without prior notice where we reasonably believe a violation has occurred; and/or
  • remove or disable content that violates these Terms or applicable law.

13.1 Effect of Termination

Upon termination:

  • your right to access and use the Services ends immediately;
  • provisions that by their nature should survive will survive, including intellectual property, disclaimers, limitations of liability, indemnities, and governing law.

Data handling after termination is governed by the Privacy Documents and any applicable Enterprise Customer agreement.

14. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. HyreMynd disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

HyreMynd does not warrant that the Services will be uninterrupted, error-free, secure, or that Outputs will be accurate, complete, or suitable for any specific purpose.

15. Limitation of Liability (Enterprise-Grade)

To the maximum extent permitted by law, HyreMynd shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

  • employment decisions or outcomes;
  • loss of opportunity, revenue, profits, or business;
  • reputational harm;
  • reliance on Outputs or inability to use the Services.

To the maximum extent permitted by law, HyreMynd's total aggregate liability for all claims arising out of or related to the Services shall not exceed the amounts paid by the applicable Enterprise Customer to HyreMynd in the twelve (12) months preceding the event giving rise to the claim.

For Candidates and Visitors, to the maximum extent permitted by law, HyreMynd's total aggregate liability shall not exceed CAD $100 in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in that case, the above limitations apply to the fullest extent permitted.

16. Indemnification

You agree to indemnify and hold harmless HyreMynd, its officers, directors, employees, contractors, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • your use or misuse of the Services;
  • your violation of these Terms;
  • your violation of applicable law or the rights of a third party; or
  • (for Enterprise Customers) your employment decisions, hiring practices, or reliance on Outputs.

HyreMynd may assume control of the defense of any claim subject to indemnification, and you agree to cooperate.

17. Compliance, Export, and Sanctions

You represent and warrant that you will comply with applicable laws and regulations, including privacy, employment, and anti-discrimination laws.

You may not use the Services in violation of export control laws or applicable sanctions. You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions, and not listed on any restricted-party list, where applicable.

18. Changes to the Services and Terms

18.1 Changes to the Services

HyreMynd may modify, suspend, or discontinue parts of the Services at any time. We will use commercially reasonable efforts to provide notice of material changes where appropriate.

18.2 Changes to the Terms

HyreMynd may update these Terms from time to time. Material changes will be communicated through the website, within the Services, and/or by email. Continued use of the Services after the effective date of revised Terms constitutes acceptance.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for any dispute arising out of or relating to these Terms or the Services.

20. General Provisions

20.1 Entire Agreement

These Terms and the Privacy Documents constitute the entire agreement between you and HyreMynd regarding the Services, except where an Enterprise Customer has a separate written agreement with HyreMynd, in which case that agreement governs in the event of conflict.

20.2 Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

20.3 No Waiver

Failure to enforce any provision is not a waiver of future enforcement of that provision or any other provision.

20.4 Assignment

You may not assign or transfer these Terms without HyreMynd's prior written consent. HyreMynd may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.

20.5 Force Majeure

HyreMynd is not liable for delays or failures due to events beyond reasonable control (e.g., internet outages, hosting failures, labor disputes, natural disasters, governmental actions).

20.6 Notices and Electronic Communications

Notices to HyreMynd must be sent to the contact information below. You consent to receive communications electronically (e.g., email, in-app notices), and such communications satisfy legal notice requirements.
